Спільна заява Кабінету Міністрів України та неголосуючих членів Номінаційного комітету з обрання керівників та членів наглядових рад державних підприємств

Кабінет Міністрів України та неголосуючі члени Номінаційного комітету з обрання керівників та членів наглядових рад державних підприємств,  у тому числі представники Європейського банку реконструкції та розвитку (ЄБРР), Європейського Союзу (ЄС), Бізнес-омбудсмена та Міжнародної фінансової корпорації (IFC), виступили з наступною заявою:

“Кабінет Міністрів та неголосуючі члени Номінаційного комітету  6 липня домовилися провести засідання у винятковому порядку з метою призначення незалежних членів та представників Держави у наглядову раду АТ «Магістральні газопроводи України» (МГУ). Хоча ми всі визнаємо наявність певних невирішених питань у сфері корпоративного управління, ми погодилися провести це засідання щодо «МГУ», оскільки у наглядовій раді підприємства наразі немає необхідної для кворуму мінімальної кількості членів, а, отже, вона не може функціонувати».

Нещодавно мав місце   прогрес у прийнятті необхідного законодавства про корпоративне управління у державних підприємствах – учора до Верховної Ради подано новий вдосконалений проект закону №5593. Ми дуже віримо у потенціал цієї реформи для забезпечення прозорості, прибутковості та рівних умов діяльності для приватних інвесторів, що сприятиме відновленню  країни  після фінансової кризи, спричиненої пандемією.

Кабінет Міністрів готовий і надалі працювати з міжнародними партнерами над розбудовою ефективного корпоративного управління у державному секторі  згідно з принципами ОЕСР (OECD), а також над подоланням існуючих та попередженням  майбутніх криз у  корпоративному управлінні державних підприємств».

The Joint Statement by the Cabinet of Ministers of Ukraine and the non-voting members of the Nomination Committee, including representatives of the European Bank for Reconstruction and Development (EBRD), the European Union (EU), the Business Ombudsman and the International Finance Corporation (IFC)

The Cabinet of Ministers of Ukraine and the non-voting members of the Nomination Committee, including representatives of the European Bank for Reconstruction and Development (EBRD), the European Union (EU), the Business Ombudsman and the International Finance Corporation (IFC), responsible for selecting independent members to the supervisory boards of Ukrainian SOEs, are issuing the following statement:

“The Cabinet of Ministers and the non-voting members of the Nomination Committee have agreed to convene on July 6 on an exceptional basis to nominate both independent and state representatives to the JSC “Mahistralni Gazoprovody Ukrainy’s” (MGU) supervisory board. While we all recognize that there are remaining corporate governance challenges, we have agreed to convene on MGU, specifically, as MGU’s supervisory board does not have the minimum number of directors to constitute quorum and thus lacks a functioning supervisory board.

Recently, progress has been achieved on the draft legislation on corporate governance in SOEs, with a new improved draft of law 5593 submitted to the Verkhovna Rada yesterday. We strongly believe in the reform’s potential to promote transparency, profitability and a level playing field for private investors, allowing the country to recover from the pandemic-induced financial crisis.

The Cabinet of Ministers is committed to work with international partners to promote good corporate governance in its SOEs in line with OECD principles and to resolve present and avert future corporate governance crises in the state-owned sector.”
